A Contributing Developer is defined as any developer who has made a commit to a private repository monitored by Heeler within the last 90 days. Contributions to public (open source) repositories are not counted in this definition.
Pricing uses one unit: blocks of 100 Contributing Developers under a contract. A Contributing Developer is any developer who committed to a monitored private repository in the last 90 days. Commits to public repositories do not count. AI agents that commit for a developer count under that developer's account, not separately. Your cost scales with team size, not with how much code your agents produce. You buy the number of developer units your team requires, so pricing grows in proportion to headcount rather than usage volume.

What exactly counts as one Contributing Developer for billing?
A Contributing Developer is any developer whose commits land in a private repository that the platform monitors within the last 90 days. Commits to public or open source repositories are not counted. What happens to my cost if my team size changes during the year?
The annual subscription includes quarterly true-ups. Every quarter the number of Contributing Developers is reassessed so your plan reflects current team size. This allows billing adjustments as your team grows or shrinks. You buy developer units in blocks of 100 under the contract.
Does adding AI coding agents increase my developer count and bill?
No. AI agents that commit on behalf of a developer count under that developer's account, not separately. The pricing unit scales with human team size, not with how much code your agents generate. Adding agent activity alone does not raise your Contributing Developer count.

Vendor refund policy
Customer may terminate the applicable contract and receive a pro rata refund of the fees paid for the terminated portion of the then-current Term if Heeler is unable to provide warranted service with Customer cooperation. The remedies set out in this subsection are the sole and exclusive remedies for breach of the above warranties.
